LEADBOTS Terms and Conditions / Service Agreement

 

1. Introduction

Welcome to LEADBOTS. By accessing or using our services, you agree to comply with and be bound by the following terms and conditions. Please read these terms carefully. If you do not agree with these terms, you should not use our services.

"We," "Us," "Our": Refers to LEADBOTS.
"You," "Your": Refers to the client or user of our services.
"Services": Refers to all products and services provided by LEADBOTS, including but not limited to chatbots, voice assistants, integrations, and automation solutions.

3. Services
3.1 Service Packages

We offer various service packages (PAIPA, Bronze, Silver, Gold, Platinum) as detailed on our website. Each package includes a set of services and features as described.

3.2 Individual Services
In addition to our packages, we offer individual services such as chatbot development, voice assistant development, email integration, calendar integration, SMS integration, CRM integration, payment gateway integration, monthly strategy planning workshops, automated reminder systems, digital marketing solutions, lead generation tools, and automated compliance tools.

4. Pricing and Payment
4.1 Pricing

Our pricing for service packages and individual services is detailed on our website. Prices are subject to change at our discretion, with reasonable notice provided to you.

4.2 Payment Terms
All fees are payable in advance, either monthly or as a one-time setup fee, as specified in the service agreement. Payments can be made via credit card, bank transfer, or other payment methods we may offer.

4.3 Service Fees
In addition to the setup fees and monthly maintenance fees for individual services, there may be additional service fees for custom requests, expedited delivery, or additional support outside the scope of the standard service agreement. These fees will be communicated to you in advance and require your approval before we proceed with the work.

 

4.4 Late Payments
Failure to pay fees on time may result in suspension or termination of services. Late payments may incur additional charges.

5. Service Delivery
5.1 Implementation
We will make reasonable efforts to deliver and implement the services in a timely manner. However, delivery times may vary based on the complexity of the project and other factors.

5.2 Maintenance and Support
We provide ongoing maintenance and support for our services as specified in the service agreement. Support includes troubleshooting, updates, and assistance with using the services.

6. Client Responsibilities
6.1 Information and Access
You agree to provide accurate and complete information necessary for us to deliver the services. You also agree to provide us with access to your systems as needed to perform the services.

6.2 Compliance
You agree to comply with all applicable laws and regulations in using our services. You are responsible for ensuring that your use of our services does not violate any laws or infringe on the rights of others.

7. Confidentiality
7.1 Confidential Information

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the term of this agreement. This includes business plans, technical data, and other confidential information.

7.2 Exceptions
Confidential information does not include information that is publicly known, already known to the receiving party, or independently developed by the receiving party.

8. Intellectual Property
8.1 Ownership

We retain all rights, title, and interest in and to our services, including all software we use, all intellectual property rights, and any modifications, enhancements, or derivative works created by us. You may not reproduce, distribute, or create derivative works from our services without our prior written consent.

8.2 Client Data
You retain all rights to your data. We may use your data only as necessary to provide the services and as permitted by applicable law.

9. Limitation of Liability
9.1 Disclaimer of Warranties
Our services are provided "as is" without any warranties, express or implied. We do not warrant that our services will be uninterrupted or error-free.

9.2 Limitation of Damages
In no event shall we be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this agreement or the use of our services.

10. Termination

10.1 Termination by Client
You may terminate this agreement at any time by providing written notice to us. Any fees paid in advance are non-refundable.

10.2 Termination by LEADBOTS
We may terminate this agreement if you breach any of the terms and conditions, or if we cease to offer the services. We will provide reasonable notice of such termination.

​

11. Governing Law
This agreement shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of laws principles.

​

12. Dispute Resolution
Any disputes arising out of or related to this agreement shall be resolved through negotiation between the parties. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in Gold Coast, Queensland, Australia.

13. Amendments
We may amend these terms and conditions at any time by posting the amended terms on our website. Your continued use of our services constitutes acceptance of the amended terms.
